VCBA Articles of Incorporation

KNOW ALL MEN BY THESE PRESENTS:

That we, the undersigned, have this day voluntarily associated ourselves together for the purpose of forming a non-profit corporation under the General Non-Profit Corporation Law of the State of California,
AND WE HEREBY CERTIFY:

ARTICLE I
That the name of this corporation shall be, VENTURA COUNTY BAR ASSOCIATION, INC.

ARTICLE II
The principal purpose for which this corporation is formed is as follows:

TO PROMOTE AND FACILITATE THE ADVANCE OF JUSTICE AND THE PRESERVATION OF THE HIGH STANDARDS OF INTELLIGENCE, HONOR AND COURTESY IN THE LEGAL PROFESSION.

ARTICLE III
The general purposes for which said corporation is formed are the following:

1) For the cultivation of the science of jurisprudence.

2) For the promotion of reform in the law.

3) For the exertion of influence of good on the life of the community.

4) For the establishment of closer relationships and cooperation with the State Board of California.

5) For the cultivation of the spirit of brotherhood and good fellowship among members.

60To provide and disseminate ideas and literature concerning current laws and their application to society.

7) To negotiate with, deal with and enter into any contract or contracts with any governmental agencies or with any individual for any purpose whatsoever in any way affecting the rights, or interest, or purposes of this association.

8)To collect fees, dues and assessments from members of this corporation for the support of said corporation.

9) To hire and employ any person or persons as may be necessary to construct, work, establish or maintain any location or locations which may be rented, leased or purchased, or in any manner granted or acquired for the location of said association.

10) To make, perform and carry out contracts of every kind and description with any person, firm, association or corporation, public or private, municipal or body politic, to borrow or loan money, to make, execute and deliver bonds, notes, mortgages, trust deeds, pledges and other obligations or security, and to acquire, hold, enforce and sell negotiable and commercial paper or securities and evidences of indebtedness, and to do any and all things necessary, suitable, useful or advisable for the accomplishment of any one or more of said objects and generally to carry on any other activity which may seem to the corporation to be incidental or pertaining to, or which grows out of, or is in any way connected with any of the aforesaid purposes, or is capable of being conveniently carried out or on in connection therewith or calculated, either directly or indirectly, to enhance the usefulness of the activities of said corporation and the benefits therefrom, or any of its property rights.

11) This corporation shall have and exercise all rights and powers conferred on corporations under the laws of the State of California; providing, that the corporation is not empowered to engage in any action which in itself is not in furtherance of its purpose as set forth in Article III hereof.

12) This association is organized and operated exclusively for the purposes hereinabove stated. No part of the net earnings, properties or assets of this corporation, on dissolution or otherwise, shall inure to the benefit of any private person or individual or any member or director of this corporation, and on liquidation or dissolution, all properties and assets of this corporation remaining after paying or providing for all debts and obligations, shall be distributed and paid over to such fund, foundation or corporation organized and operated for charitable or religious purposes, as the Board of Directors shall determine.

ARTICLE IV
This corporation is organized pursuant to the General Non-Profit Corporation Law or pursuant to Part 1 Division 2 of title 1 of the Corporation Code.

ARTICLE V
The name of the unincorporated association which is hereby being incorporated is Ventura County Bar Association.

ARTICLE VI
The principal place for transaction of the business of this corporation is to be located in the County of Ventura , State of California .

ARTICLE VII
The powers of this corporation shall be exercised, its properties controlled, and its affairs conducted by a board of directors. The number of directors of this corporation shall be four (4). The number of directors of this corporation herein provided for may be changed by a By-Law duly adopted by the members entitled to vote. The names and addresses of the persons who are appointed to act as the first directors are:

ARTICLE VIII
The authorized number and qualifications of this corporation, the different classes of membership, the property, voting, and other rights and privileges of members, and the liability of members to dues or assessments and the method of collection thereof shall be set forth by the By-Laws of this corporation.

IN WITNESS WHEREOF, the undersigned, being the president and the secretary, respectively, of The Ventura County Bar Association, the unincorporated association which is being incorporated hereby, have executed these Articles of Incorporation this 30th day of September, 1967.
